They are a newly incorporated blank check company. They have established strategic relationships with selected leading investors and financing providers, which they refer to as the “Strategic Partners.” Their advisors (“Advisors”) are former senior operating executives of leading companies across the industries, including technology, direct to consumer and fintech. Such Strategic Partners and Advisors may invest in their sponsor, thereby sharing in the appreciation of founder shares and private placement units, and assist them in sourcing and evaluating potential acquisition targets and creating long-term value in the business combination. They may pursue an initial business combination in any business or industry but expect to focus on a target in an industry where they believe the expertise of their management team and Advisors will provide them with a competitive advantage. Their expertise lends itself well to pursuing technology, direct to consumer and fintech platforms, but they are not required to complete their initial business combination with a business in these industries, and as a result, they may pursue a business combination outside of these industries. They do not intend to acquire companies that have speculative business plans or carry excessive leverage.
