They are a blank check company led by women and focused on improving access to public financing for companies that are founded by, led by or enrich the lives of women (“Women-Forward Companies”). They were formed as a Delaware corporation for the purpose of effecting a merger, capital stock exchange, asset acquisition, stock purchase, reorganization or similar transaction with one or more businesses. Throughout this prospectus, they will refer to this as their initial business combination. Perella Weinberg Partners, a leading, global independent advisory firm, is an indirect investor in their sponsor. They intend to focus their search on Women-Forward Companies that would benefit from the expertise of their officers, directors and advisory board members. As a Women-Forward Company ourselves, they believe that they can serve as a like-minded partner for the Women-Forward Companies that they target, providing them with an advantage in the market for those businesses. While they may pursue an initial business combination in any industry or geographic location (subject to certain limitations described in this prospectus), they have not selected any business combination target and they have not, nor has anyone on their behalf, initiated any substantive discussions, directly or indirectly, with any business combination target.

Stacia Ryan has been our Chief Executive Officer since September 21, 2020 and a director since our inception. Ms. Ryan has more than 20 years of investment banking and mergers and acquisitions experience. During her career, Ms. Ryan has helped numerous companies in the consumer and retail industry find strategic or financing solutions to meet their business objectives. Ms. Ryan currently serves as a Partner of PWP, Co-Head of the Consumer and Retail Group and Co-Chair of PWP Diversity, Equity and Inclusion. Prior to joining PWP, she was at Morgan Stanley from 1998 to 2018, most recently serving as Managing Director and a senior member of the global consumer and retail investment banking group. During her tenure at Morgan Stanley, she executed a variety of transactions, including mergers and acquisitions as well as equity and debt underwritings. Ms. Ryan earned a B.S. in Systems Engineering from the University of Virginia.
