Hennessy Capital Investment V (HCICU)

They are a newly organized blank check company incorporated in October 2020 as a Delaware corporation and formed for the purpose of effecting a merger, capital stock exchange, asset acquisition, stock purchase, reorganization or similar business combination with one or more businesses, which they refer to throughout this prospectus as their initial business combination. They have not selected any specific business combination target and they have not, nor has anyone on their behalf, initiated any substantive discussions, directly or indirectly, with any business combination target. While they may pursue an acquisition opportunity in any business, industry, sector or geographical location, they intend to focus on industries that complement their management team’s background, and to capitalize on the ability of their management team to identify and acquire a business, focusing on sustainable industrial technology and infrastructure sectors in the United States (which may include a business based in the United States which has operations or opportunities outside of the United States). They will seek to acquire one or more businesses with an aggregate enterprise value of $1 billion or greater.
